Uliseo Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of uliseo.io and the products, software, communications systems, AI-powered services, and other services provided by ULISEO LLC, doing business as Uliseo ("Uliseo," "we," "us," or "our").

By accessing our website, submitting a form, purchasing or using our services, creating an account where applicable, or otherwise engaging with Uliseo, you agree to these Terms and our Privacy Policy.

If you do not agree with these Terms, you should not use our website or services.

1. Agreement to Terms

By using Uliseo's website or services, you represent that:

• You are at least 18 years old and legally capable of entering into a binding agreement;
• Any information you provide to Uliseo is accurate and complete to the best of your knowledge;
• If you are using the services on behalf of a company or other organization, you have authority to bind that organization to these Terms; and
• You will use the services only in accordance with applicable law and these Terms.

Certain products, subscriptions, service plans, proposals, order forms, or agreements may contain additional terms. Where additional written terms apply to a specific service, those additional terms will also form part of the agreement between you and Uliseo.

2. Description of Services

Uliseo provides AI-powered customer communication, lead management, appointment scheduling, automation, and related business technology services.

Depending on the service selected, Uliseo services may include:

• AI-powered receptionist services;
• AI-assisted telephone conversations;
• AI-powered website chat and messaging;
• Lead capture and qualification;
• Appointment booking and scheduling;
• Missed-call follow-up;
• SMS communications;
• Email communications;
• Telephone communications;
• Automated customer and prospect follow-up;
• Customer relationship management;
• Call routing and call tracking;
• Call recording and transcription where enabled and permitted;
• Conversation summaries;
• Workflow automation;
• Customer service automation;
• Review and reputation-related workflows; and
• Other related digital communication and automation services.

Features may vary depending on the service plan, configuration, integrations, geographic availability, telecommunications providers, and third-party platforms used.

Uliseo may modify, improve, replace, suspend, or discontinue individual features where reasonably necessary to operate or improve the services.

3. GoHighLevel / HighLevel Platform

Uliseo uses HighLevel, commonly known as GoHighLevel or GHL, as a primary CRM, automation, communications, and customer-management platform.

Through this infrastructure, Uliseo may manage:

• Contact information;
• Customer and prospect records;
• Form submissions;
• Appointment scheduling;
• Automation workflows;
• SMS conversations;
• Email communications;
• Telephone calls;
• Call tracking;
• Call recordings and transcripts where enabled;
• Website or funnel interactions; and
• Other customer communications.

Users may receive communications facilitated through this system, including emails, telephone calls, SMS messages, appointment-related communications, automated follow-ups, and telephone communications that may reach voicemail.

SMS communications are sent only in accordance with applicable consent requirements and the messaging terms described below.

Use of telecommunications or CRM service providers does not transfer a user's SMS consent to those providers for their independent marketing purposes.

4. User Responsibilities

You agree to use Uliseo's services responsibly and lawfully.

You are responsible for:

• Providing accurate information;
• Maintaining the security of any credentials or accounts under your control;
• Ensuring that your use of the services complies with laws applicable to your business;
• Obtaining appropriate permissions or consent from individuals you contact through the services where required;
• Providing legally required notices relating to calls, recording, transcription, artificial intelligence, email, or messaging where applicable;
• Maintaining accurate customer and prospect information;
• Respecting opt-out, unsubscribe, and do-not-contact requests;
• Using customer information only for lawful business purposes; and
• Ensuring that instructions, content, campaigns, workflows, and communications created or requested by you comply with applicable law.

If Uliseo provides services on behalf of your business, you remain responsible for the legality of the customer or prospect data you provide to us and for having a lawful basis to use that information.

5. Communications and Consent

By providing your contact information, you authorize Uliseo to contact you as reasonably necessary to respond to your request, provide services you requested, administer your account or relationship with us, or otherwise communicate with you as permitted by law.

Providing a telephone number does not, by itself, constitute consent to receive marketing text messages where separate consent is required.

Where affirmative SMS consent is required, Uliseo will use an appropriate opt-in mechanism.

Consent to receive marketing SMS messages is not a condition of purchasing goods or services from Uliseo.

You are responsible for ensuring that contact information you provide belongs to you or that you are otherwise authorized to provide it.

6. SMS Messaging Terms

Uliseo SMS Program

When you affirmatively opt in to receive SMS messages from Uliseo, you may receive messages including:

• Responses to enquiries you submitted;
• Conversational replies;
• Appointment confirmations;
• Appointment reminders;
• Scheduling and rescheduling communications;
• Requested follow-up messages;
• Customer care messages;
• Account or service notifications;
• Communications relating to services you requested;
• AI receptionist follow-ups;
• Missed-call follow-up messages; and
• Marketing or promotional messages where you have separately consented to receive them.

Consent to receive SMS messages is not a condition of purchase.

Message Frequency

You will receive messages at varying frequencies depending on your interactions with Uliseo, your requests, appointment activity, active conversations, and the services you use. Message frequency may vary.

You may receive multiple messages during an active conversation or in connection with an appointment, request, or ongoing service interaction.

If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Message and Data Rates

As always, message and data rates may apply for any messages sent to you from us and to us from you.

Your wireless provider's standard messaging and data rates may apply.

Opt-Out Instructions

You can cancel the SMS service at any time. Just text "STOP" to +1 307-318-3975. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

Opt-out requests apply to the messaging program associated with the request and will be processed in accordance with applicable messaging requirements.

Carrier Liability

Carriers are not liable for delayed or undelivered messages.

SMS availability and delivery may depend on your wireless carrier, device, network conditions, telecommunications providers, and other factors outside Uliseo's control.

Privacy

Your mobile information and SMS consent are handled in accordance with Uliseo's Privacy Policy.

SMS opt-in information and consent are not sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes.

7. Call Recording, Transcription, and AI Communications

Uliseo provides AI-powered telephone and communication services.

Where enabled, calls and other conversations may be recorded, transcribed, summarized, or otherwise processed for purposes such as:

• Providing the requested service;
• Capturing appointment or customer information;
• Maintaining accurate communication records;
• Quality assurance;
• Customer support;
• Troubleshooting;
• Security;
• Dispute resolution; and
• Improving Uliseo's services.

Where notice or consent is required by applicable law before a call or conversation can be recorded or transcribed, the appropriate notice or consent must be provided.

If you use Uliseo's services to communicate with your own customers or prospects, you are responsible for ensuring that your implementation and use comply with recording, consent, telemarketing, privacy, and communications laws applicable to you.

8. Artificial Intelligence

Certain Uliseo services use artificial intelligence to answer questions, interact with callers or website visitors, capture information, qualify enquiries, schedule appointments, and perform other automated functions.

AI systems may occasionally misunderstand information, provide incomplete responses, or generate inaccurate outputs.

Uliseo does not guarantee that AI-generated communications, summaries, transcripts, recommendations, classifications, or other outputs will always be accurate, complete, or error-free.

Customers remain responsible for reviewing important information and should not rely solely on automated systems for decisions that require professional, legal, medical, financial, safety-critical, or other specialized judgment.

9. Acceptable Use

You may not use Uliseo's website or services to:

• Violate any applicable law or regulation;
• Send unlawful, deceptive, abusive, threatening, or fraudulent communications;
• Send spam or unsolicited communications in violation of applicable requirements;
• Contact individuals who have validly opted out where further contact is prohibited;
• Misrepresent your identity or affiliation;
• Impersonate another person or organization;
• Engage in fraud or deceptive marketing;
• Upload malicious software or harmful code;
• Attempt to gain unauthorized access to systems or data;
• Interfere with or disrupt the operation of Uliseo's services;
• Use the services to infringe intellectual property, privacy, publicity, or other rights;
• Collect or process information without appropriate authority;
• Circumvent messaging, carrier, platform, or compliance restrictions; or
• Use the services for activities prohibited by telecommunications carriers or applicable service providers.

Uliseo may restrict or suspend use that we reasonably believe creates legal, security, reputational, operational, carrier-compliance, or platform-compliance risks.

10. Payments & Billing

Certain Uliseo services require payment.

Prices, billing frequency, subscription terms, setup fees, usage charges, and other commercial terms will be disclosed through the applicable checkout page, proposal, order form, invoice, service agreement, or other purchasing process.

Payments may be processed through Stripe or another authorized payment processor.

By providing a payment method, you authorize the applicable payment processor to charge amounts that become due under your selected plan or agreement.

Where a service is provided on a recurring subscription basis, charges may recur according to the billing schedule disclosed when you purchase the service until the subscription is cancelled or terminated according to the applicable cancellation terms.

You are responsible for maintaining accurate billing and payment information.

Except where otherwise stated in a written agreement or required by applicable law, fees already earned or incurred are not refundable.

Failure to pay amounts when due may result in suspension or termination of services.

11. Third-Party Services and Integrations

Uliseo services may rely on or integrate with third-party platforms and providers, including:

• HighLevel / GoHighLevel;
• Stripe;
• Google Calendar;
• Telecommunications providers;
• Hosting and infrastructure providers; and
• Other technology providers reasonably necessary to operate the services.

Third-party services may be subject to their own terms, privacy policies, availability, limitations, and technical requirements.

Uliseo is not responsible for outages, changes, restrictions, errors, or discontinuation caused solely by third-party platforms outside our reasonable control.

The availability of a particular integration or feature is not guaranteed indefinitely.

12. Intellectual Property

Unless otherwise stated, Uliseo and its licensors own all rights, title, and interest in and to the Uliseo website, branding, software configurations, designs, text, graphics, workflows, documentation, processes, technology, and other materials created or provided by Uliseo.

These materials are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms and payment of applicable fees, Uliseo grants you a limited, non-exclusive, non-transferable, revocable right to access and use the services for their intended business purpose during the applicable service term.

You may not copy, reproduce, distribute, resell, sublicense, reverse engineer, or commercially exploit Uliseo's proprietary materials except where expressly authorized in writing or permitted by law.

Customer Content

You retain ownership of information, branding, materials, scripts, data, and other content that you provide to Uliseo.

You grant Uliseo a limited right to process and use that content as reasonably necessary to provide, maintain, support, secure, and improve the services you request.

You represent that you have the necessary rights and permissions to provide that content to Uliseo.

13. Service Availability

Uliseo aims to provide reliable services but does not guarantee uninterrupted or error-free availability.

Service availability may be affected by:

• Maintenance;
• Software updates;
• Internet connectivity;
• Telecommunications carriers;
• Third-party infrastructure;
• Platform outages;
• API changes;
• Customer configuration;
• Network congestion;
• Force majeure events; or
• Other circumstances outside Uliseo's reasonable control.

Uliseo may perform maintenance or make changes where reasonably necessary to maintain or improve the services.

14. Disclaimers

To the maximum extent permitted by applicable law, the website and services are provided on an "as is" and "as available" basis.

Uliseo does not warrant that:

• The services will be uninterrupted or error-free;
• Every call, message, email, or communication will be successfully delivered;
• AI-generated responses will always be accurate;
• Every lead will convert into a customer;
• Any particular revenue, appointment, conversion, ranking, review, or business result will be achieved; or
• Third-party platforms or telecommunications services will remain continuously available.

Uliseo does not provide legal advice, and use of the services does not guarantee compliance with every law or regulation applicable to a customer's business.

Customers are responsible for obtaining professional advice regarding their own legal and regulatory obligations when appropriate.

15. No Guarantee of Business Results

Uliseo's services are designed to assist businesses with communications, responsiveness, lead management, appointment scheduling, automation, and related processes.

Results depend on numerous factors outside Uliseo's control, including the customer's offer, market, lead quality, sales process, pricing, reputation, customer demand, advertising, staff performance, and other business conditions.

Uliseo does not guarantee any specific number of leads, customers, appointments, reviews, sales, revenue, or return on investment unless such guarantee is expressly provided in a separate written agreement signed by Uliseo.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Uliseo and its officers, employees, contractors, agents, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to the website or services, including loss of profits, revenue, business opportunities, goodwill, or data.

To the maximum extent permitted by applicable law, Uliseo's aggregate liability arising out of or relating to the services will not exceed the amount actually paid by the customer to Uliseo for the service giving rise to the claim during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

17. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ULISEO LLC and its officers, employees, contractors, agents, and affiliates from claims, losses, liabilities, damages, costs, and reasonable legal expenses arising from or related to:

• Your unlawful or unauthorized use of the services;
• Your violation of these Terms;
• Your violation of applicable law;
• Communications or campaigns initiated or configured by you;
• Customer or prospect information you provide without appropriate rights or authorization;
• Your failure to obtain legally required consent;
• Your content or instructions;
• Your infringement of another person's rights; or
• Misuse of Uliseo's services by you or persons acting through your account.

18. Suspension and Termination

Uliseo may suspend or terminate access to some or all services where reasonably necessary because of:

• Nonpayment;
• Violation of these Terms;
• Unlawful activity;
• Security concerns;
• Abuse or fraud;
• Messaging or telecommunications compliance violations;
• Carrier or platform restrictions;
• Conduct that creates material risk to Uliseo or other users; or
• A requirement imposed by law or a third-party infrastructure provider.

Where reasonable under the circumstances, Uliseo may provide notice and an opportunity to address the issue before termination.

You may terminate paid services according to the cancellation provisions applicable to your subscription, proposal, order form, or service agreement.

Provisions that by their nature should survive termination, including payment obligations, intellectual property provisions, disclaimers, limitations of liability, indemnification, and governing-law provisions, will survive termination.

19. Privacy

Uliseo's collection and processing of personal information are governed by our Privacy Policy.

In particular, mobile information and SMS opt-in consent are not sold, rented, or shared with third parties or affiliates for their own marketing or promotional purposes.

20. Governing Law

These Terms and any dispute arising from or relating to them will be governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.

21. Dispute Resolution

Before initiating formal proceedings, you and Uliseo agree to make a reasonable attempt to resolve disputes informally by contacting the other party and describing the dispute.

Any dispute that cannot be resolved informally may be submitted to binding arbitration where permitted by applicable law.

Unless otherwise agreed by the parties or required by applicable law, arbitration will take place in Wyoming, United States.

Nothing in this section prevents either party from seeking relief in small claims court where eligible or seeking appropriate temporary or injunctive relief when necessary to protect intellectual property, confidential information, security, or other rights.

22. Changes to These Terms

Uliseo may update these Terms from time to time to reflect changes in:

• Our services;
• Business practices;
• Technology;
• Telecommunications requirements;
• Third-party platforms; or
• Applicable legal or regulatory requirements.

When these Terms are updated, Uliseo will revise the "Last Updated" date below.

Where required, material changes may also be communicated through our website, email, or other appropriate means.

Your continued use of the services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

23. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permissible.

24. No Waiver

Failure by Uliseo to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

25. Entire Agreement

These Terms, the Privacy Policy, and any applicable written order form, proposal, service agreement, or other terms expressly incorporated into them constitute the agreement governing your use of the relevant Uliseo services.

If a separately signed agreement expressly conflicts with these Terms, the separately signed agreement will control with respect to that conflict.
